INTELLECTUAL PROPERTY POLICY
1. Introduction
LUNEXA ("Company", "LUNEXA ", "We", "Us", "Our"), a proprietorship concern, with Udyam Registration No : UDYAM-KR-11-0080406 , having its principal place of business at Ground Floor, Hiranya Complex, Bolwar, Puttur, Dakshina Kannada, Karnataka – 574201, India, owns and operates the e-commerce platform accessible through shop.motoutility.com, a MOTOUTILITY Trademark owned by LUNEXA and associated digital services (collectively referred to as the "Platform").
This Intellectual Property Policy ("Policy") governs the ownership, protection, use and enforcement of intellectual property rights relating to the website and mobile application brand name "MOTOUTILITY" (hereinafter referred to as the "Platform"), owned and operated by LUNEXA , a Proprietorship Firm.
This Policy has been framed to protect the proprietary rights, goodwill, reputation and commercial interests associated with the Platform and to ensure compliance with applicable intellectual property laws in India and internationally.
By accessing or using the Platform, users acknowledge and agree to comply with the terms contained in this Policy.
2. Applicable Laws
This Policy is framed in accordance with the provisions of:
a) The Trade Marks Act, 1999;
b) The Copyright Act, 1957;
c) The Patents Act, 1970;
d) The Designs Act, 2000;
e) The Information Technology Act, 2000;
f) The Semiconductor Integrated Circuits Layout-Design Act, 2000;
g) International treaties and conventions relating to intellectual property rights;
h) Any other applicable laws, rules and regulations.
3. Ownership of Intellectual Property
All intellectual property rights in relation to the Platform, including but not limited to the name "MOTOUTILITY", trademarks, logos, service marks, trade dress, domain names, software, source codes, databases, graphics, designs, layouts, photographs, videos, text, catalogues, compilations and other proprietary materials shall exclusively belong to MOTOUTILITY or its licensors.
Nothing contained in this Policy or on the Platform shall be construed as transferring any ownership rights to users.
4. Trademark Rights
The words "MOTOUTILITY", logos, labels, slogans, symbols, icons and other distinctive marks used on the Platform constitute valuable intellectual property and are protected under the Trade Marks Act, 1999 and common law rights.
Any unauthorized use, imitation, reproduction, adoption or registration of marks identical or deceptively similar to those belonging to MOTOUTILITY shall constitute infringement and passing off and may attract civil and criminal liabilities.
5. Copyright Protection
All content apearing on the Platform including:
a) Text;
b) Product descriptions;
c) Software;
d) Images;
e) Graphics;
f) Catalogues;
g) Videos;
h) Audio recordings;
i) Layouts and compilations;
j) Databases;
shall be protected under the Copyright Act, 1957.
No person shall reproduce, distribute, modify, publish, transmit, store or commercially exploit such content without obtaining prior written permission from MOTOUTILITY.
6. Software and Source Code Rights
All software, applications, algorithms, source code, object code, databases, interfaces and related technologies forming part of the Platform are proprietary assets of MOTOUTILITY or its licensors.
Users shall not:
a) Reverse engineer;
b) Decompile;
c) Disassemble;
d) Copy;
e) Modify;
f) Create derivative works;
g) Attempt unauthorized access to the software or databases.
Any such act shall constitute violation of intellectual property rights and may result in legal proceedings.
7. Product Images and Catalogues
Product photographs, descriptions, illustrations, catalogues and compilations appearing on the Platform are protected intellectual property.
Unauthorized downloading, copying, extraction, republication or commercial use of such material is strictly prohibited.
MOTOUTILITY reserves all rights in respect thereof.
8. Third-Party Intellectual Property
Certain trademarks, logos, brand names and product images displayed on the Platform belong to their respective owners.
Their appearance on the Platform does not imply ownership, affiliation, endorsement or sponsorship unless expressly stated.
All rights relating to such third-party intellectual property shall remain vested in the respective owners.
9. Limited License
Subject to compliance with this Policy, MOTOUTILITY grants users a limited, non-exclusive, revocable and non-transferable license to access and use the Platform solely for lawful and personal purposes.
This license does not permit:
a) Commercial exploitation;
b) Reproduction;
c) Distribution;
d) Publication;
e) Modification;
f) Data extraction;
g) Creation of derivative works;
h) Unauthorized copying.
All rights not expressly granted herein are reserved by MOTOUTILITY.
10. Prohibited Activities
Users shall not:
a) Copy or reproduce content;
b) Use trademarks without authorization;
c) Register domain names containing MOTOUTILITY marks;
d) Engage in cybersquatting;
e) Frame or mirror the Platform;
f) Remove copyright notices;
g) Use content for commercial gain;
h) Create confusingly similar logos or labels;
i) Misappropriate confidential information;
j) Commit acts amounting to infringement or passing off.
11. User-Generated Content
Where users submit reviews, comments, feedback, suggestions or other content, they grant MOTOUTILITY a perpetual, worldwide, royalty-free, irrevocable and transferable right to use, reproduce, publish, display, modify and distribute such content for lawful business purposes.
Users represent and warrant that they possess all necessary rights in respect of such content and that the same does not infringe the rights of any third party.
12. Reporting Intellectual Property Violations
Any person believing that their intellectual property rights have been infringed through the Platform may submit a written complaint containing:
a) Details of the complainant;
b) Description of the intellectual property involved;
c) Evidence of ownership;
d) Nature of infringement;
e) Supporting documents;
f) Contact information.
Upon receipt of a valid complaint, MOTOUTILITY may investigate and take appropriate remedial action.
13. Takedown Procedure
MOTOUTILITY reserves the right to remove, disable or restrict access to any content, material or information that is alleged to infringe intellectual property rights without prior notice.
Such removal shall not create any liability upon MOTOUTILITY.
14. Enforcement of Rights
MOTOUTILITY reserves the right to institute appropriate civil, criminal or administrative proceedings against persons violating its intellectual property rights.
Such remedies may include:
a) Injunctions;
b) Damages;
c) Rendition of accounts;
d) Delivery up and destruction of infringing goods;
e) Criminal prosecution;
f) Recovery of legal costs and expenses.
15. Confidential Information
Trade secrets, business methods, software architecture, customer databases, pricing models and proprietary information of MOTOUTILITY constitute confidential information.
Unauthorized disclosure, copying or misuse of such information shall be strictly prohibited and may attract legal action.
16. Reservation of Rights
All intellectual property rights not expressly granted under this Policy are reserved by MOTOUTILITY.
Failure to enforce any right shall not constitute a waiver of such rights.
17. Limitation of Liability
MOTOUTILITY shall not be liable for any indirect, consequential or incidental damages arising from the misuse or unauthorized use of intellectual property by third parties.
Users shall indemnify and hold harmless MOTOUTILITY from claims arising out of their infringement of third-party intellectual property rights.
18. Consumer Rights
Nothing contained in this Policy shall affect statutory rights available under applicable laws.
The provisions of this Policy shall be interpreted in harmony with the Trade Marks Act, 1999, Copyright Act, 1957 and other applicable legislation.
19. Amendment of Policy
MOTOUTILITY reserves the right to amend, modify or revise this Intellectual Property Policy at any time.
Updated versions shall become effective immediately upon publication on the Platform.
20. Governing Law and Jurisdiction
This Policy shall be governed by and construed in accordance with the laws of India.
Any dispute arising out of or relating to this Policy shall be subject to the exclusive jurisdiction of the competent courts having jurisdiction over the place where MOTOUTILITY carries on business.
