TERMS AND CONDITIONS OF USE

1. PREAMBLE

These Terms and Conditions of Use ("Terms") constitute a legally binding agreement between LUNEXA, a proprietorship concern with Udyam Registration No: UDYAM-KR-11-0080406, having its principal place of business at Ground Floor, Hiranya Complex, Bolwar, Puttur, Dakshina Kannada, Karnataka – 574201, India (hereinafter referred to as "LUNEXA", "Company", "We", "Us", or "Our") and any person accessing, browsing, registering on, purchasing from, or otherwise using the website shop.motoutility.com and related services (hereinafter referred to as "User", "Customer", "You", or "Your").

By accessing or using the Platform, You expressly acknowledge, agree, and undertake to be bound by these Terms, our Privacy Policy, Shipping Policy, Return and Refund Policy, Warranty Policy, and all other policies published on the Platform.

If You do not agree with these Terms, You must immediately discontinue use of the Platform.

2. ELIGIBILITY

By using the Platform, You represent and warrant that:

You are competent to contract under applicable laws.
You are at least eighteen (18) years of age.
You possess the legal authority to enter into binding agreements.
All information provided by You is accurate and complete.
Your use of the Platform does not violate any applicable law.

Any access by a minor shall be deemed to occur under the supervision and responsibility of a parent or legal guardian.

Moto Utility operates an online platform engaged in the sale of automotive and vehicle-related products including but not limited to:

Motorcycle spare parts
Vintage motorcycle components
Number plates
Number plate frames
Vehicle accessories
Helmets
Riding gear
Keychains
Decorative accessories
Utility products
Merchandise and related automotive goods

The Platform functions solely as an e-commerce marketplace operated by Moto Utility for lawful commercial purposes.

4. ACCOUNT REGISTRATION

Certain features of the Platform may require registration.

Users shall:

Provide accurate information
Maintain confidentiality of login credentials
Immediately notify Moto Utility regarding unauthorized access
Remain solely responsible for all activities conducted through their account

Moto Utility reserves the unrestricted right to suspend, terminate, or restrict any account suspected of misuse, fraud, unlawful conduct, or violation of these Terms.

5. PRODUCT INFORMATION

Moto Utility endeavors to ensure that all product descriptions, specifications, photographs, compatibility information, and pricing details are accurate.

Packaging may change without notice
Technical specifications may vary
Manufacturer modifications may occur

Users acknowledge that minor deviations shall not constitute grounds for legal claims.

6. VEHICLE COMPATIBILITY DISCLAIMER

Users are solely responsible for verifying compatibility of any spare part, accessory, number plate frame, or automotive product with their vehicle.

Moto Utility does not guarantee:

Universal compatibility
Fitment suitability
Installation success
Compliance with local regulations

Any purchase made without confirming compatibility shall be at the sole risk of the User.

Moto Utility shall not be liable for damages arising from incorrect selection, installation, modification, or usage of products.

7. NUMBER PLATE PRODUCTS

Where number plates or customized products are offered:

Users warrant that all information submitted is lawful and accurate.
Users shall comply with applicable motor vehicle laws.
Moto Utility reserves the right to reject any order that appears unlawful, misleading, fraudulent, offensive, or contrary to public policy.
Users shall remain solely responsible for legal use of customized products.

Moto Utility shall not be responsible for penalties, fines, vehicle seizures, or regulatory actions arising from misuse of such products.

8. PRICING

All prices displayed on the Platform:

Are quoted in Indian Rupees (INR)
Include applicable taxes unless otherwise specified
Are subject to change without notice

In the event of:

Pricing errors
Technical glitches
Human errors
Incorrect inventory information

Moto Utility reserves the right to cancel, modify, or refuse any order irrespective of payment status.

Any amount received shall be refunded as per applicable policies.

9. ORDER ACCEPTANCE

Placement of an order constitutes an offer by the User.

Acceptance occurs only upon dispatch of products.

Moto Utility reserves the right to:

Reject orders
Limit quantities
Refuse service
Cancel suspicious transactions
Verify customer identity

without assigning any reason.

10. PAYMENT TERMS

Payments may be processed through authorized third-party payment service providers.

Moto Utility shall not be liable for:

Banking failures
Payment gateway interruptions
Unauthorized transactions caused by customer negligence
Delays attributable to financial institutions

The User agrees to comply with the terms of the respective payment service provider.

11. SHIPPING AND DELIVERY

Estimated delivery timelines are indicative only.

Moto Utility shall not be responsible for delays caused by:

Courier partners
Natural disasters
Government restrictions
Strikes
Force majeure events
Public emergencies

Risk of loss shall pass to the customer upon delivery.

12. RETURNS, REFUNDS AND REPLACEMENTS

Returns, refunds, cancellations, replacements, and warranty claims shall be governed exclusively by the Return and Refund Policy and Warranty Policy published on the Platform.

Moto Utility reserves the right to inspect returned products before approving any refund or replacement.

13. INTELLECTUAL PROPERTY RIGHTS

All content available on the Platform including trademarks, trade names, logos, product photographs, graphics, layouts, software, text, designs, and source code are proprietary assets of Moto Utility or respective rights holders.

No right, title, or interest is transferred to Users.

Unauthorized reproduction, copying, distribution, reverse engineering, or commercial exploitation is strictly prohibited.

14. PROHIBITED ACTIVITIES

Users shall not:

Violate applicable laws
Engage in fraudulent conduct
Upload malicious code
Attempt unauthorized access
Scrape website data
Interfere with website operations
Misrepresent identity
Infringe intellectual property rights
Abuse customer support channels

Any violation may result in civil and criminal proceedings.

15. USER GENERATED CONTENT

Where reviews, ratings, comments, photographs, or other submissions are permitted, Users grant Moto Utility a perpetual, worldwide, irrevocable, royalty-free license to use, reproduce, publish, distribute, modify, display, and exploit such content.

Moto Utility reserves the right to remove content at its discretion.

16. DISCLAIMER OF WARRANTIES

The Platform and all products are provided on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by law, Moto Utility disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, continuous availability, and error-free operation.

No oral or written advice shall create any warranty not expressly stated herein.

17. LIMITATION OF LIABILITY

To the maximum extent permitted under applicable law, Moto Utility, its proprietor, employees, agents, affiliates, vendors, and service providers shall not be liable for indirect damages, consequential damages, special damages, loss of profits, loss of goodwill, loss of data, business interruption, or vehicle damage caused by improper installation or use.

In all circumstances, Moto Utility's aggregate liability shall not exceed the amount actually paid by the User for the relevant product.

18. INDEMNITY

Users agree to indemnify, defend, and hold harmless Moto Utility, its proprietor, officers, employees, representatives, agents, successors, and assigns from and against all claims, losses, liabilities, damages, costs, penalties, and expenses arising out of:

Violation of these Terms
Misuse of products
Breach of law
Infringement of third-party rights
False information supplied by the User

19. FORCE MAJEURE

Moto Utility shall not be liable for any failure or delay resulting from events beyond its reasonable control including natural disasters, floods, earthquakes, fires, pandemics, government actions, internet failures, cyber attacks, and labor disturbances.

20. TERMINATION

Moto Utility may suspend or terminate access to the Platform immediately and without notice where:

These Terms are breached
Fraud is suspected
Security risks arise
Required by law

Termination shall not affect accrued rights or liabilities.

21. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of India.

22. DISPUTE RESOLUTION

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved amicably through negotiations.

Failing such resolution, disputes shall be subject to the exclusive jurisdiction of the competent courts situated at Puttur, Dakshina Kannada, Karnataka.

23. SEVERABILITY

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

24. ENTIRE AGREEMENT

These Terms, together with all policies published on the Platform, constitute the entire agreement between the Parties and supersede all prior understandings, representations, and communications.

25. WALLET AND REWARD POLICY

Any reward points, cashback, promotional credits, wallet balances, loyalty benefits, or similar incentives credited to a user's account on Lunexa or shop.motoutility.com are offered on a voluntary and promotional basis and do not constitute legal tender, monetary deposits, or vested rights of the user.

Lunexa reserves the absolute right to modify, suspend, withdraw, cancel, expire, or discontinue any reward program, wallet facility, cashback scheme, or promotional offer at any time without prior notice.

Rewards and wallet credits shall have no cash value unless expressly stated and shall not be transferable, refundable, exchangeable, or redeemable for cash.

Users acknowledge and agree that Lunexa shall not be liable for any loss, forfeiture, deletion, non-availability, or inability to redeem wallet balances, reward points, cashback, credits, or promotional benefits arising from website closure, discontinuation of services, platform migration, system upgrades, technical failures, server crashes, cyber incidents, force majeure events, data corruption, software malfunctions, maintenance activities, or any other unforeseen circumstances.

Lunexa reserves the unrestricted right to revise eligibility criteria, redemption conditions, validity periods, earning rates, usage restrictions, and program rules at its sole discretion.
